By purchasing an English Talks online course pre-recorded or live, you agree, without qualification, to be bound by the Terms as set out below.


Shared accounts


There may be only one user associated with an account. Users may NOT share an account. Sharing your account with others may result in termination of your course.

Cooling-off

If you have purchased a course online or via phone, you have the right to change your mind and receive a full refund within fourteen (14) days of purchase (the “Cooling-off Period”).

Cancellation

Once a course has commenced there is no entitlement to a refund

If you do not accept these Terms, you may not use the English Talks online courses Service or access any classes.

1. Definitions

Content means any material from classes delivered online or other digital content or material that is made available through English Talks online courses Service (whether real time content or self-access).
Contract means the legally binding contract between you and English Talks on these Terms.

Direct Purchase Terms and Conditions means the terms set out in this document

English Talks online courses Service means any services provided on English Talks online courses Service Website, including all live classes, associated features and functionalities, as well as all content and software applications associated with the services.

English Talks online courses Service Website means the website with the URL www.englishtalks-onlineschool.com as at the date that these Terms are agreed to.

Fixed online course means a course with a set duration (based on the option you select at purchase), where classes are fixed on the same day and time each week, with the same teacher.

Package means a particular type of access defined by a one-off payment and includes a Fixed Online course.
We, us, our means English Talks.

You means the person agreeing to these Terms.

Your Content means any content created, developed or in any way added on or to the English Talks online courses by you or through your password-protected account, such as during a class or any other part of English Talks online courses.

2. How the Contract is formed

Your acceptance of these Terms constitutes a legally binding contract between you and English Talks.

3. Your obligations when using English Talks online courses Service – Student Code of Conduct

All students enrolled in English Talks online courses must accept and adhere to the Student Code of Conduct, set out below. By adhering to these guidelines, students can contribute to a positive, inclusive, and productive learning environment. Failure to comply with these guidelines may result in the withdrawal of course access without reimbursement.

As the English Talks online courses Service and the Content will be provided through a third-party web browser (such as Microsoft Edge, Chrome or Firefox or any other platform) you should also read the terms of use and privacy policy that apply to your use of that web browser.

3.1 Identification and Punctuality: Students are required to join Zoom classes using their full name (first name + surname) as registered. Punctuality is essential; students should join classes on time from a quiet and appropriate environment conducive to learning.

3.2 Single Device Usage and Internet Connectivity: Each student must utilise only one device at a time to access Zoom or any other related platform used and ensure a stable Internet connection throughout the duration of the class. Students are strictly prohibited from sharing accounts or providing access to the English Talks online courses Service to any other individual or legal entity. English Talks online courses accounts are linked to your individual details, ensuring a unique and personalised experience tailored to your learning needs. You are responsible for ensuring you have in place all hardware, software, and telecommunications necessary to access and use English Talks online courses Service and will be responsible for all related charges, including the fees of internet service providers.

3.3 Appropriate Workspace and Attire: While we understand that finding an ideal space may pose challenges, please try to find a quiet, professional space where you can join the class. If your only option is not as professional as you would like, blur your background or use a Zoom background to maintain your privacy and professionalism. Your attire should be appropriate and non-offensive, ensuring it is suitable for a professional learning environment. Additionally, please be mindful that any other children should not appear onscreen during class to safeguard their own protection. If a child is visible, the teacher may need to remove you from the session.

3.4 Camera and Microphone Usage and Active Participation: Keeping your camera on during classes is mandatory to foster engagement, facilitate active participation, and enhance the learning experience. Students should also have a microphone and should unmute themselves whenever the teacher asks them to do so. In the event of technical difficulties preventing camera or microphone usage, students must promptly inform the teacher and provide a reason for the inability to comply. We understand that there may be exceptions, such as religious circumstances, where certain students cannot have their cameras on, and we respect these considerations. No other exceptions will be made without good reason.

3.5 Respectful Behaviour: Students must refrain from engaging in activities unrelated to the learning objectives, such smoking, eating, or any other activity that could be distracting for others. Additionally, always conduct yourself in a professional manner, both in communication with teachers and classmates. Use appropriate language and tone in written and verbal communication and demonstrate courtesy and respect in all interactions. Please refrain from using the chat for conversations and topics outside the scope of the class and, as a rule, raise your hand and wait to be invited to speak by the teacher unless other discussion norms have been outlined at the beginning of the class.

3.6 Cultural Sensitivity and Respect for Diversity: Given the diverse nature of our student body at English Talks online courses Service, it is imperative to respect and be mindful of different cultures, religions, ethnic backgrounds, opinions, and experiences present in the virtual classroom. Acknowledge and respect this diversity, avoiding derogatory comments or engaging in behaviours that may be discriminatory or offensive to others based on factors such as race, gender, sexual orientation, disability, or socioeconomic status. We do not tolerate bullying or harassment. It is strictly prohibited to abuse, harass, threaten, impersonate or intimidate any other users of the English Talks online courses Service. It is strictly prohibited to use the English Talks online courses Service in any way that prevents, disrupts or interferes with any other person’s use of the same service.

3.7 Online Sexual Harassment and Sexual Misconduct: We are committed to providing a safe and respectful online learning environment for all participants. We have a zero-tolerance policy towards online sexual harassment and sexual misconduct during our classes. Harassment includes unwanted conduct that violates a person’s dignity or creates an intimidating, hostile, or offensive online environment, whether verbal, psychological, or through other digital means. Unacceptable behaviours include making sexually offensive comments, engaging in harassment based on sexuality, making unwanted remarks based on sex, gender identity, gender expression, or sexual orientation, and perpetuating sexual stereotypes about sexual and gender minorities. Sexual misconduct includes sharing private sexual materials online, posting sexual images, making lewd or sexual gestures while on-camera, and making sexual advances towards a classmate.

3.8 Confidentiality: Respect the privacy and confidentiality of fellow students and teachers at English Talks online courses Service. Refrain from sharing personal information or class-related discussions outside of the designated learning environment without explicit consent. Disclaimer: The opinions and messages posted by students using the English Talks online courses Service do not reflect and are not representative of the views English Talks or its teachers, employees, affiliates, suppliers, or partners. English Talks is not responsible for the content of messages published by students to other students they have identified through the English Talks online courses Service.

3.9 Content Sharing: You should not take pictures of or record classes or copy our products in any form. It’s strictly prohibited to:
(a) upload or display any comments or materials through your participation in the English Talks online courses Service which are false, offensive, sexually explicit, defamatory, threatening, obscene or unlawful or which infringe intellectual property rights;(b) probe, scan or test the vulnerability of the English Talks online courses Service or attempt to circumvent or hack any user authentication or security controls in respect of the English Talks online courses Service;
(c) reverse compile, disassemble, reverse engineer, decompile, copy, duplicate, modify or adapt any software or other code or scripts forming part of the English Talks online courses Service (except to the extent permitted by law) or attempt to transmit to or via the English Talks online courses Service, any information that contains a virus, worm, Trojan horse or other harmful or disruptive component;
(d) change, modify, delete, interfere with or misuse any files or other data created, owned or provided by English Talks or any third party provided as part of the English Talks online courses Service (except as expressly permitted under these Terms);
(e) use the online courses Service in contravention of any applicable law.
How to Report a Violation of the Student Code of Conduct? Please contact info@englishtalks.ie if you wish to report a violation of the Student Code of Conduct. Any student, staff member, or community member may report an alleged incident.

4. Technology limitations and modifications to the English Talks online courses Service


4.1 English Talks will use reasonable endeavours to make the English Talks online courses Service available at the date, time and in accordance with any other conditions agreed on your Order Confirmation as a result of direct purchase by you or purchase by another person on your behalf or at the time of signing a contract with the purchaser of this service. However, certain technical difficulties, maintenance or testing, or updates required to reflect changes in relevant laws and regulatory requirements, may, from time to time, result in temporary interruptions. English Talks does not and cannot warrant or guarantee that your use of the English Talks online courses Service will be uninterrupted or error-free. We are not responsible for any delays, delivery failures, or any other loss or damage resulting from the transfer of data over communications networks and facilities, including the internet, and you acknowledge that the English Talks online courses Service may be subject to limitations, delays, and other problems inherent in the use of such communications facilities.

4.2 English Talks may, from time to time, at its sole discretion and without prior notice to you, change, expand and improve the English Talks online courses Service. We may also, at any time, cease operating part or all of the English Talks online courses Service or selectively disable certain aspects or portions thereof or any Content. Any modifications or eliminations of the English Talks online courses Service or the Content are at the sole and absolute discretion of English Talks and your use of the English Talks online courses Service does not entitle you to the continued provision or availability thereof.

4.3 You understand, agree, and accept that English Talks will make reasonable efforts, although it has no obligation to maintain, support, upgrade, or update the English Talks online courses Service or Content, or to provide all or any specific content through the English Talks online courses Service.

6. Cancellation of the Contract

6.1 This Contract will continue to apply to you until cancelled by either you or the
Cancellation by ET

6.2 English Talks may cancel this Contract or suspend your access to English Talks online courses Service by giving you notice in writing (whether by email or otherwise) at any time if you breach these Terms in which case English Talks shall have no liability or responsibility to you, and English Talks will not refund any amounts that you have already paid for the relevant Plan period.

6.3 English talks may also cancel the Contract or suspend your access to English Talks online courses Service at any time, without liability to you if:
(a) English Talks is unable to provide the English Talks online courses Service in full due to a reason beyond its reasonable control; or
(b) English Talks withdraws part of or the whole of the English online courses Service and/or the Content (in which case we shall provide you reasonable notice in advance of doing so); or (c) English Talks reserves the right to cancel a Fixed online course group if the minimum requirement of four (4) students for the timetable and level is not met, providing that the group is cancelled before the start of the course.

7. Data protection


We will only use your personal information as set out in our privacy policy. This includes the use of your information by our Payment Processor in order to verify and process your payments.
For Young Learners, we may, as appropriate, use the contact details of the Parent or Guardian, or of the English Talks Client Representative, to issue communications regarding the Young Learner’s course. Pursuant to applicable data protection laws, once a Young Learner attains the age of 18, we are prohibited from disclosing any personal information concerning the now Adult student to their Parent or Guardian. 1. Definitions and Interpretation

In this Agreement the following terms shall have the following meanings:
"Account": means collectively the personal information, Payment Information and credentials used by Users to access Paid Content and / or any communications System on the Website;
"Content": means any text, graphics, images, audio, video, software, data compilations and any other form of information capable of being stored in a computer that appears on or forms part of this Website;

  • 9.4 You acknowledge that any information you send to Us through Our System may be modified by Us in any way and you hereby waive your moral right to be identified as the author of such information. 10. Accounts

  • 10.1 In order to procure Services on this Website and to use certain other parts of the System, you are required to create an Account which will contain certain personal details and Payment Information which may vary based upon your use of the Website as We may not require payment information until you wish to make a purchase. By continuing to use this Websiteyou represent and warrant that:
  • 10.1.1 all information you submit is accurate and truthful;
  • 10.1.2 you have permission to submit Payment Information where permission may be required; and

Please be aware that orders or payments can only be cancelled up until provision of Services has commenced. In the event that an unauthorised provision commences prior to your notifying Us of the unauthorised nature of the order or payment then you shall be charged for the period from the commencement of the provision of services until the date you notified us and may be charged for a billing cycle of one month.
  • 10.4 When choosing your username you are required to adhere to the terms set out above in Clause 9. Any failure to do so could result in the suspension and/or deletion of your Account.

11. Termination and Cancellation of Accounts

  • 11.1 Either English Talks™ or you may terminate your Account. If We terminate your Account, you will be notified by email and an explanation for the termination will be provided. Notwithstanding the foregoing, We reserve the right to terminate without giving reasons.
  • 11.2 If We terminate your Account, any current or pending orders or payments on your Account will be cancelled and provision of Services will not commence.

12. Services, Pricing and Availability

  • 12.1 Whilst every effort has been made to ensure that all general descriptions of Services available from English Talks™ correspond to the actual Services that will be provided to you, We are not responsible for any variations from these descriptions as the exact nature of the Services may vary depending on your individual requirements and circumstances. This does not exclude Our liability for mistakes due to negligence on Our part and refers only to variations of the correct Services, not different Services altogether. Please refer to sub-Clause 13.8 for incorrect Services.
  • 12.2 Where appropriate, you may be required to select the required Plan of Services.
  • 12.3 We neither represent nor warrant that such Services will be available at all times and cannot necessarily confirm availability until confirming your Order. Availability indications are not provided on the Website.
  • 12.4 All pricing information on the Website is correct at the time of going online. We reserve the right to change prices and alter or remove any special offers from time to time and as necessary.
  • 12.5 In the event that prices are changed during the period between an order being placed for Services and Us processing that order and taking payment, then the price that was valid at the time of the order shall be used.

13. Orders and Provision of Services

  • 13.1 No part of this Website constitutes a contractual offer capable of acceptance. Your order constitutes a contractual offer that We may, at Our sole discretion, accept. Our acceptance is indicated by Us sending to you an order confirmation email. Only once We have sent you an order confirmation email will there be a binding contract between English Talks™ and you.
  • 13.2 Order confirmations under sub-Clause 13.1 will be sent to you before the Services begin and shall contain the following information:
  • 13.2.1 Confirmation of the Services ordered including full details of the main characteristics of those Services;
  • 13.2.2 Fully itemised pricing for the Services ordered including, where appropriate, taxes, delivery and other additional charges;
  • 13.2.3 Relevant times and dates for the provision of the Services;
  • 13.2.4 User credentials and relevant information for accessing those services.
  • 13.3 If We, for any reason, do not accept your order, no payment shall be taken under normal circumstances. In any event, any sums paid by you in relation to that order will be refunded within 14 calendar days.
  • 13.4 Payment for the Services shall be taken via your chosen payment method, immediately for any setup fee that corresponds to the service plan you purchased and at the same day of each subsequent month (“billing cycle”) for charges accrued during the previous month (“billing cycle”) AND/OR as indicated in the order confirmation you received.
  • 13.5 We aim to fulfill your Order within 2-3 working days or if not, within a reasonable period following your Order, unless there are exceptional circumstances. If we cannot fulfill your Order within a reasonable period, we will inform you at the time you place the Order by a note on the relevant web page or by contacting you directly after you place your Order. Time is not of the essence of the Contract, which means we will aim to fulfill your Order within any agreed timescales but this is not an essential term of the Contract and we will not be liable to you if we do not do so. If the Services are to begin within 14 calendar days of Our acceptance of your order, at your express request, you will be required to expressly acknowledge that your statutory cancellation rights, detailed below in Clause 14, will be affected.
  • 13.6 English Talks™ shall use all Our reasonable endeavours to provide the Services with reasonable skill and care, commensurate with best trade practice.
  • 13.7 In the event that Services are provided that are not in conformity with your order and thus incorrect, you should contact Us immediately to inform Us of the mistake. We will ensure that any necessary corrections are made within five (5) working days.
  • Additional terms and conditions may apply to the provision of certain Services. You will be asked to read and confirm your acceptance of any such terms and conditions when completing your Order.
  • 13.8 English Talks™ provides technical support via our online support forum and/or phone. English Talks™ makes every effort possible to respond in a timely manner but we do not guarantee a particular response time.

14. Cancellation of Orders and Services

We want you to be completely satisfied with the Products or Services you order from English Talks™. If you need to speak to us about your Order, then please contact customer care on [PHONE NUMBER], or by email at info@englishtalks.ie or write to us at our address (see section 1 above). You may cancel an Order that we have accepted or cancel the Contract. If any Specific Terms accompanying the Service contain terms about cancelling the Service, the cancellation policy in the Specific Terms will apply.
  • 14.1 If you are a consumer based within the European Union, you have a statutory right to a “cooling off” period. This period begins once your order is confirmed and the contract between English Talks™ and you is formed and ends at the end of 14 calendar days after that date. If you change your mind about the Services within this period and wish to cancel your order, please inform Us immediately using the following email: . Your right to cancel during the cooling off period is subject to the provisions of sub-Clause 14.2.
  • 14.2 As specified in sub-Clause 13.6, if the Services are to begin within the cooling off period you are required to make an express request to that effect. By requesting that the Services begin within the 14 calendar day cooling off period you acknowledge and agree to the following:
  • 14.2.1 If the Services are fully performed within the 14 calendar day cooling off period, you will lose your right to cancel after the Services are complete.
  • 14.2.2 If you cancel the Services after provision has begun but is not yet complete you will still be required to pay for the Services supplied up until the point at which you inform Us that you wish to cancel. The amount due shall be calculated in proportion to the full price of the Services and the actual Services already provided. Any sums that have already been paid for the Services shall be refunded subject to deductions calculated in accordance with the foregoing. Refunds, where applicable, will be issued within 5 working days and in any event no later than 14 calendar days after you inform Us that you wish to cancel.
  • 14.3 Cancellation of Services after the 14 calendar day cooling off period has elapsed shall be subject to the specific terms governing those Services and may be subject to a minimum contract duration.

16. How We Use Your Personal Information (Data Protection)

  • 16.1 All personal information that We may collect (including, but not limited to, your name and address) will be collected, used and held in accordance with the provisions of the Data Protection Act 1998 and your rights under that Act.

  • 16.2.1 Provide Our Services to you;
  • 16.2.2 Process your payment for the Services; and
  • 16.2.3 Inform you of new products and services available from Us. You may request that We stop sending you this information at any time.
  • 16.3 In certain circumstances (if, for example, you wish to purchase Services on credit), and with your consent, We may pass your personal information on to credit reference agencies. If We are required to make any changes to these Terms and Conditions by law, these changes will apply automatically to any orders currently pending in addition to any orders placed by you in the future.

19. Availability of the Website

English Talks™ uses industry best practices to provide a high uptime, including a fault-tolerant architecture hosted in cloud servers. We give no warranty that the Website or Facilities will be free of defects and / or faults and we do not provide any kind of refund for outages. We provide no warranties (express or implied) of fitness for a particular purpose, accuracy of information, compatibility and satisfactory quality.
  • 19.2 We accept no liability for any disruption or non-availability of the Website resulting from external causes including, but not limited to, ISP equipment failure, host equipment failure, communications network failure, power failure, natural events, acts of war or legal restrictions and censorship.

20. Limitation of Liability

  • 20.1 To the maximum extent permitted by law, We accept no liability for any direct or indirect loss or damage, foreseeable or otherwise, including any indirect, consequential, special or exemplary damages arising from the use of the Website or any information contained therein. You should be aware that you use the Website and its Content at your own risk.

  • 20.3 Nothing in these Terms and Conditions excludes or restricts English Talks™'s liability for any direct or indirect loss or damage arising out of the incorrect provision of Services or out of reliance on incorrect information included on the Website.
